Terms and Conditions of Use

Welcome, and thank you for your interest in Adagio.org (“Adagio,” “we,” “us,” or “our”), our application for your mobile device, our website at adagio.org and our related websites, networks, applications, and other services provided by Adagio (the “Adagio Service”).

BEFORE USING THE ADAGIO SERVICE, PLEASE READ CAREFULLY THE FOLLOWING TERMS AND CONDITIONS OF USE. BY REGISTERING FOR AND/OR ACCESSING, BROWSING, AND USING THE ADAGIO SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE FOLLOWING TERMS, INCLUDING ANY ADDITIONAL GUIDELINES, AND ANY FUTURE MODIFICATIONS (COLLECTIVELY, THE “TERMS”). IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE ADAGIO SERVICE.

ARBITRATION NOTICE:

Except for certain kinds of disputes described in Section 19.2, you agree that disputes arising under these Terms will be resolved by binding, individual arbitration, and BY ACCEPTING THESE TERMS, YOU AND ADAGIO ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.


1. Eligibility

You must be at least 13 years of age to use the Service. We do not knowingly collect personally identifiable information of persons under the age of 13. By using or accessing the Adagio Service, you represent and warrant that: (i) you are at least 13 years of age; (ii) you are fully able and competent to enter into the terms and conditions set forth in these Terms; (iii) all registration information you submit is accurate and truthful; and (iv) your use of the Adagio Service is in compliance with any and all applicable laws and regulations.

2. Incorporation by Reference

Your privacy is important to Adagio. Adagio’s Privacy Policy (available at adagio.org/privacy) is hereby incorporated into these Terms by reference. Please read this notice carefully for details relating to the collection, use, and disclosure of your information. Individuals who use an application for mobile devices provided by Adagio are also bound by the Adagio End User License Agreement provided with that application.

3. Modification of the Terms

Adagio reserves the right, at its discretion, to change, modify, add, or remove portions of these Terms at any time without notice to you. Your use of the Adagio Service following any such change constitutes your agreement to be bound by the modified Terms. Material changes will be effective 30 days from the posting of such change.

4. Adagio Service Access

Subject to your full and ongoing compliance with these Terms, Adagio grants you permission to use the Adagio Service as set forth in these Terms. The Adagio Service is controlled and offered by Adagio from its facilities in the United States of America. Access to the Adagio Service from territories where such access is illegal is strictly prohibited.

5. Ownership; Proprietary Rights

The Adagio Service is owned and operated by Adagio. The visual interfaces, interactive features, graphics, design, computer code, products, software, and content (collectively, the “Adagio Materials”) are protected by United States copyright, trade dress, patent, and trademark laws.

6. Feedback

If you provide Adagio any comments, bug reports, or feedback (“Feedback”), such Feedback is provided on a non-confidential basis and Adagio shall have the right to use such Feedback at its discretion, including the incorporation of such Feedback into the Adagio Service.

7. General Payment Terms

Certain features of the Adagio Service may require you to pay fees. All fees are in U.S. Dollars and are non-refundable. Adagio reserves the right to determine pricing. You authorize Adagio to charge all sums for the orders you make to the payment method specified in your account.

8. User Submissions

You retain any copyright and other proprietary rights in and to your User Submissions. However, by submitting content, you grant Adagio a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and transferable license to use, reproduce, and distribute your User Submissions in connection with the Adagio Service.

9. Content Disclaimer

You understand that when using the Adagio Service, you will be exposed to content from other users. Adagio is not responsible for the accuracy, integrity, quality, or legality of such content. You agree to waive any legal or equitable rights you have against Adagio with respect thereto.

10. Monitoring and Removal of Content

Adagio does not control the content posted by users but reserves the right (but not the obligation) to monitor, pre-screen, or remove any User Submission at its sole discretion for any reason, with or without notice.

11. Prohibited Uses

As a condition of your use, you agree not to:

  • Use the Service for any unlawful purpose or in violation of any law.
  • Intentionally interfere with or damage the operation of the Service.
  • Remove, circumvent, or disable any security-related features.
  • Use any robot, spider, or scraper to access the Service for any purpose.
  • Reverse engineer, decompile, or disassemble the source code of the Service.

12. Account Information & Passwords

You are solely responsible for maintaining the confidentiality of your account and password. You agree to accept responsibility for all activities that occur under your account. Adagio will not be liable for any loss or damage arising from your failure to safeguard your password.

13. Third-Party Services

The Adagio Service may contain links to third-party websites or services. Adagio has no control over such sites and disclaims responsibility for their content, accuracy, or availability. Use of third-party services is at your own risk and subject to their respective terms.

14. DMCA Compliance

It is Adagio’s policy to respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act. Adagio will promptly terminate without notice any user determined to be a “repeat infringer.”

15. Termination

Adagio may terminate your access to the Service or any part thereof at any time, with or without cause, and with or without notice. You may terminate these Terms by closing your account and discontinuing use of the Service.

16. Disclaimers; No Warranties

THE ADAGIO SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. ADAGIO DISCLAIMS ALL WARRANTIES, STATUTORY, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADAGIO SHALL NOT BE LIABLE FOR ANY SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF $1,000 OR THE FEES PAID BY YOU IN THE PREVIOUS 12 MONTHS.

18. Indemnification

You agree to indemnify and hold harmless Adagio and its affiliates from any claims, losses, or expenses arising out of: (i) your use of the Service; (ii) your User Submissions; or (iii) your violation of these Terms.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California. Any dispute shall be resolved by binding arbitration in Santa Clara County, California. You waive the right to a trial by jury or to participate in any class action proceeding.

20. Miscellaneous Disclosures

Under California Civil Code Section 1789.3, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs for further information regarding the use of the Service.
